Terms of Service

By submitting an inquiry, signing a purchase order, entering into a supply agreement, or otherwise engaging in a commercial transaction with Shining Vehicles ("we," "us," or "the Company"), you ("Buyer" or "Customer") agree to be bound by these Terms of Service.

These terms constitute a legally binding agreement between Shining Vehicles and the purchasing entity. If you are acting on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

Shining Vehicles provides the following commercial services to qualified B2B buyers:

• Wholesale supply of electric, gas-powered, and hybrid golf carts for commercial fleets
• OEM/ODM manufacturing services including custom branding, configuration, and specification development
• Bulk order fulfillment with factory-direct pricing for distributors and large-scale operators
• Configuration consulting to match vehicle specifications with your operating environment
• After-sales support including spare parts supply, technical documentation, and service guidance
• Export logistics coordination for international buyers, including documentation assistance

The scope of any specific engagement is defined in the signed purchase order or supply agreement between both parties. In the event of a conflict between these Terms and a signed supply agreement, the supply agreement shall take precedence.

All quotations issued by Shining Vehicles are valid for 30 calendar days from the date of issue unless otherwise stated in writing. Quotations are non-binding until confirmed by a signed purchase order and receipt of the required deposit.

Order confirmation process:

1. Buyer submits a purchase inquiry specifying model, quantity, configuration, destination, and required delivery timeline.
2. Shining Vehicles issues a formal quotation including unit pricing, total order value, payment schedule, and estimated production lead time.
3. Buyer reviews and signs the purchase order or supply agreement.
4. Shining Vehicles confirms production commencement upon receipt of the agreed deposit.

Shining Vehicles reserves the right to decline any order at its discretion, including orders that cannot be fulfilled within the requested specification or timeline.

Standard payment terms for wholesale orders are as follows. Specific terms may be adjusted by written agreement for established long-term customers.

• Deposit: 30% of total order value due upon signing of the purchase order to commence production
• Balance: 70% of total order value due prior to shipment release or upon presentation of shipping documents
• Currency: All transactions are denominated in USD unless otherwise agreed in writing
• Payment methods: T/T (Telegraphic Transfer), L/C (Letter of Credit) for orders above agreed thresholds, or other methods as agreed

Late payment beyond the agreed schedule may result in order hold, production delay, or cancellation at the Company's discretion. Any costs incurred due to buyer-caused payment delays, including storage or re-scheduling fees, shall be borne by the Buyer.

Production lead times and shipping schedules are estimated at the time of order confirmation. Lead times are subject to factory capacity, component availability, and force majeure events.

Standard lead times:

• Standard catalog models: 15-30 business days from deposit receipt
• Custom-configured orders: 30-60 business days depending on specification complexity
• OEM/ODM projects: Timeline agreed individually based on scope

Shipping terms: Default shipping terms are FOB (Free On Board) from our factory port unless otherwise specified. EXW, CIF, and DDP terms are available upon request and will be reflected in the quotation.

Risk of loss and title transfer to the Buyer at the point defined by the agreed Incoterms. Shining Vehicles is not liable for delays caused by shipping carriers, customs clearance, port congestion, or events outside our direct control.

Shining Vehicles provides the following limited warranty on all products supplied under these terms:

• Structural frame and chassis: 24 months from date of shipment
• Electric motor and controller: 12 months from date of shipment
• Battery pack (lithium): 12 months or 500 charge cycles, whichever occurs first
• Battery pack (lead acid): 6 months from date of shipment
• Gas engine (OEM engine brand warranty applies): As per the engine manufacturer's terms
• Consumable parts (tires, brake pads, belts, bulbs): Not covered under warranty

Warranty claims must be submitted in writing with photographic or video evidence of the defect, the unit serial number, and the original purchase documentation. Warranty coverage is void if the product has been modified, improperly maintained, operated outside its rated specifications, or damaged due to accident or misuse.

Warranty remedy is limited to replacement of defective parts at Shining Vehicles' discretion. Return shipping costs for warranty claims are the responsibility of the Buyer unless otherwise agreed.

Due to the nature of bulk manufacturing and international logistics, Shining Vehicles does not accept returns for change-of-mind or buyer ordering errors. All sales are final once production has commenced.

Accepted claims include:

• Units with manufacturing defects confirmed upon arrival inspection
• Significant specification deviations from the signed purchase order
• Shipping damage confirmed with carrier documentation and photographic evidence

Claim submission requirements:

• Claims must be submitted within 7 calendar days of cargo receipt
• Include full photographic or video documentation of each affected unit
• Provide the unit serial number, purchase order reference, and a written description of the issue
• Do not alter, repair, or modify the affected unit prior to claim resolution

Shining Vehicles will review all submitted claims within 10 business days and propose a resolution, which may include replacement parts, unit replacement, or credit toward a future order.

Shining Vehicles offers OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) services for qualified buyers. These engagements are governed by a separate OEM/ODM agreement in addition to these Terms of Service.

OEM services include:

• Custom branding, logo application, and color schemes
• Seat configuration and upholstery customization
• Accessory integration and pre-installation
• Custom battery specifications and range requirements
• Packaging and labeling to buyer specifications

ODM services include:

• Custom body design and tooling development
• Proprietary specification development
• Exclusive model production for qualified buyers

All custom designs developed for a specific buyer remain the intellectual property of Shining Vehicles unless a separate IP assignment agreement is signed. Buyers retain the right to use the custom design exclusively for the agreed production period.

All product designs, engineering drawings, technical specifications, manufacturing processes, and marketing materials produced by Shining Vehicles are the exclusive intellectual property of the Company and are protected under applicable laws.

Buyers are granted a limited, non-exclusive, non-transferable license to use Shining Vehicles product documentation solely for the purpose of operating, maintaining, and reselling the purchased products in the agreed territory.

Prohibited activities include:

• Reproducing, reverse-engineering, or copying Shining Vehicles product designs
• Using Shining Vehicles trademarks, logos, or trade names without written authorization
• Sharing proprietary technical documentation with third parties
• Sub-licensing any rights granted under these terms

Where a Buyer supplies their own brand assets for OEM production, the Buyer warrants that they hold all necessary rights to those assets and indemnifies Shining Vehicles against any third-party IP claims arising from their use.

To the maximum extent permitted by applicable law, Shining Vehicles' total liability to the Buyer for any claim arising from or related to a purchase order shall not exceed the total value of that specific purchase order.

Shining Vehicles shall not be liable for:

• Indirect, incidental, or consequential damages including lost profits or revenue
• Business interruption or operational downtime caused by product unavailability
• Damages arising from the Buyer's failure to comply with import regulations or local laws
• Losses caused by improper operation, unauthorized modification, or inadequate maintenance
• Delays or losses caused by force majeure events including natural disasters, pandemics, labor disputes, or government actions

Shining Vehicles manufactures products in compliance with applicable Chinese manufacturing and export standards. Our products are designed to meet common international certification requirements; however, specific compliance with local regulations in the destination country is the Buyer's responsibility.

Available certifications (subject to model and configuration):

• CE Certification (European market)
• ISO 9001 Quality Management System
• RoHS Compliance (hazardous substances)
• UN38.3 Battery Transportation Certification
• EPA/CARB compliance documentation (where applicable)

Buyers are responsible for verifying that the purchased products meet all applicable safety, emissions, and road-use regulations in their jurisdiction before placing vehicles into commercial operation. Shining Vehicles will provide available documentation to support the Buyer's compliance process upon request.

Either party may terminate an ongoing supply agreement with 30 days written notice provided no active purchase orders are pending fulfillment. Active orders must be completed or mutually settled before termination takes effect.

Shining Vehicles may terminate a supply relationship immediately and without notice in the following circumstances:

• Buyer's failure to make payment within 30 days of the agreed due date
• Buyer's insolvency, bankruptcy, or appointment of a receiver
• Buyer's use of products in violation of applicable laws or these terms
• Buyer's material breach of any signed supply agreement

Upon termination, all outstanding payment obligations remain due. Any deposits paid for orders not yet commenced may be subject to cancellation fees as specified in the applicable purchase order.

These Terms of Service are governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Dispute resolution process:

1. Negotiation: Both parties agree to first attempt resolution through good-faith commercial negotiation within 30 days of a dispute arising.
2. Mediation: If negotiation fails, either party may request formal mediation through a mutually agreed mediator.
3. Arbitration: Unresolved disputes shall be submitted to binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC). The arbitration shall be conducted in Mandarin or English as agreed, and the award shall be final and binding.

Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction to protect its intellectual property or confidential information.
